Agreement to Terms
By accessing or using the services provided by Straw Hat Digital (my company), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use my services.
Services
Straw Hat Digital provides product development, design, and engineering services. The specific scope, deliverables, and terms of each project will be defined in a separate agreement or statement of work between you and Straw Hat Digital.
Client Responsibilities
When engaging my services, you agree to:
- Provide accurate and complete information necessary for the project
- Respond to requests for feedback and approvals in a timely manner
- Ensure you have the rights to any content or materials you provide
- Make payments according to the agreed-upon schedule
Intellectual Property
Unless otherwise specified in a project agreement:
- Upon full payment, you will own the final deliverables created specifically for your project
- I retain ownership of any pre-existing tools, frameworks, or methodologies used in the project
- I may use non-confidential aspects of the project in my portfolio unless otherwise agreed
Confidentiality
I agree to keep confidential any proprietary information you share with me during our engagement. This includes business strategies, technical specifications, and any information marked as confidential. This obligation does not apply to information that is publicly available or independently developed.
Payment Terms
Payment terms will be specified in your project agreement. Unless otherwise stated:
- A deposit may be required before work begins
- Invoices are due within 14 days of receipt
- Late payments may incur additional fees or work suspension
Limitation of Liability
To the maximum extent permitted by law, Straw Hat Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of my services. My total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.
Warranties
I warrant that my services will be performed in a professional and workmanlike manner. I do not warrant that deliverables will be error-free or that they will meet all of your requirements unless specifically stated in the project agreement.
Termination
Either party may terminate a project agreement with written notice. Upon termination, you will be responsible for payment for all work completed up to the termination date. Provisions regarding intellectual property, confidentiality, and limitation of liability shall survive termination.
Governing Law
These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
Changes to Terms
I reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to this website. Your continued use of my services after changes constitutes acceptance of the modified terms.
